📄 Agreement Overview

These Terms and Conditions ("Terms") govern your access to and use of the website yelpersia.com, the SmartSign kiosk platform, the SmartSign Customer Portal, the AI Business Finder, and all related products and services provided by Yelpersia, LLC ("us," "we," or "our").

By accessing or using any of our services — including interacting with a SmartSign kiosk at a third-party location — you agree to be bound by these Terms. If you do not agree, please do not use our services.

👤 Account Registration

Eligibility

By registering an account on our website or the SmartSign Customer Portal, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

Account Information

When creating an account, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and are solely responsible for all activities that occur under your account.

Account Security

Your account is for your use only and may not be transferred or assigned to any other person or entity. You are responsible for all actions taken using your account, whether authorized by you or not. Notify us immediately if you suspect any unauthorized access to your account.

📺 SmartSign Kiosk — Service Terms

Kiosk Plans

SmartSign kiosks are available under three plan types. By selecting a plan, you agree to the following terms:

• Purchase (Own) — One-time purchase of the kiosk hardware. A monthly Digital Software License ($50/month) is required to operate the kiosk's cloud platform and interactive features. Without an active subscription, the display and software features will not function
• Flex (Lease-to-Own) — 12-month lease agreement with monthly payments. The Digital Software License is included at no additional cost for the first 12 months ($50/month thereafter). A one-time $99 setup fee applies. No deposit is required. Early cancellation terms apply
• Event Rental — Daily rental with software included. A $99 setup fee applies (waived for bookings of 2 or more consecutive days). A refundable deposit is collected and returned upon satisfactory return of the kiosk. Discounted rates are available for multi-day rentals

Digital Software License

The SmartSign kiosk requires an active Digital Software License to operate. This license powers the cloud-based content management system, analytics, lead capture, and all interactive features. The license is included free with Flex and Event Rental plans as described above. For Purchase customers, the $50/month license is billed separately and must remain active for the kiosk to function.

Kiosk Hardware

SmartSign kiosks are available in three form factors: Portable (24″ and 32″), Horizontal (32″ and 43″), and Vertical (32″ and 43″). Larger 55″ and 65″ commercial displays are available upon request at custom pricing. All kiosks are designed for indoor environments.

Equipment Responsibility

For Flex and Event Rental plans, you are responsible for maintaining the kiosk in good working condition during your rental period. Damage beyond normal wear and tear may result in repair or replacement charges. The kiosk must be kept indoors and used in accordance with the manufacturer's specifications.

Multi-Kiosk Discount

A 10% discount applies to each additional kiosk deployed under the same business account. This discount applies to all kiosk types and plan types and has no limit on the number of additional units.

🛡️ SmartCare — Managed Service Terms

SmartCare is an optional managed service subscription ($100/month) that provides content management, engagement tracking, analytics reporting, email marketing, survey management, promotional campaign setup, and priority remote support.

SmartCare is billed monthly and can be cancelled at any time with 30 days' notice. Upon cancellation, managed services will cease at the end of the current billing period. Content on the kiosk will remain as-is until the business owner makes changes through the Customer Portal.

🔐 SmartSign Customer Portal

The SmartSign Customer Portal (smartsign.yelpersia.com) is a cloud-based dashboard where business owners manage kiosk content, view analytics, and monitor activity. By using the portal, you agree to:

• Keep your login credentials secure and not share them with unauthorized parties
• Use the portal only for managing your own business kiosk content and analytics
• Ensure all content uploaded to your kiosk complies with applicable laws and does not contain offensive, misleading, or infringing material
• Accept responsibility for all content displayed on your kiosk through your portal account

🧩 Add-On Services

Optional add-on services — including Self-Service Food Ordering, Check-In/Check-Out System, Real-Time Inventory Lookup, Reservation & Waitlist System, Loyalty & Rewards Program, Sponsorship Revenue Program, Promotional Video Production, Portable Wi-Fi Hotspot, and Website Design & Development — are subject to their own pricing and terms as communicated at the time of purchase. Pricing for add-on services is subject to change.

🔍 AI Business Finder

The AI Business Finder is a search tool that helps users locate local businesses in Washington through the Yelpersia directory. If a business is not listed on our platform, the system may retrieve publicly available information from third-party sources.

The AI Business Finder and all AI-powered features on our platform are provided for informational purposes only. While we strive for accuracy, we cannot guarantee the completeness or correctness of AI-generated results. You acknowledge and agree that:

• Conversation history from AI features may be stored locally on your browser and not on our servers
• You are responsible for managing or deleting locally stored data from your device
• Yelpersia disclaims any liability for reliance on AI-generated responses or recommendations
• Third-party business information retrieved by the AI may not be verified by Yelpersia

⚖️ User Obligations

Compliance with Laws

You agree to comply with all applicable laws, regulations, and third-party rights when using our website, kiosks, Customer Portal, or any other service. You are solely responsible for ensuring that your use does not violate any laws or infringe upon the rights of others.

Prohibited Conduct

You must not engage in any conduct that is harmful, illegal, fraudulent, or violates these Terms, including but not limited to:

• Impersonating any person or entity or falsely representing your affiliation
• Posting false, misleading, or malicious information on any Yelpersia platform
• Uploading viruses, malware, or other harmful content
• Interfering with the operation of our website, kiosks, or Customer Portal
• Attempting to gain unauthorized access to any Yelpersia system or another user's account
• Using SmartSign kiosks to display content that is illegal, offensive, defamatory, or infringes on third-party rights

🏢 Business Listings

Accuracy of Information

As a business owner, you are solely responsible for the accuracy, completeness, and legality of the information you provide for your business listing — whether on yelpersia.com or displayed through a SmartSign kiosk. We reserve the right to remove or edit any listing that violates these Terms or is deemed inappropriate.

Complimentary Listings

Customers who rent a SmartSign kiosk for 12 months or purchase a kiosk may receive a complimentary 1-year business listing on Yelpersia.com. This listing is auto-renewable and may be cancelled at any time.

⭐ Reviews, Ratings & Comments

Users may leave reviews, ratings, and comments for businesses on yelpersia.com and through SmartSign kiosks. By submitting a review, you agree to the following:

• You are solely responsible for the content of any review or comment you submit
• Reviews must not contain advertising, promotional material, false information, or impersonation
• Yelpersia does not endorse or verify the accuracy of user-submitted reviews and disclaims any liability related to such content
• We reserve the right to remove, edit, or moderate any review at our discretion
• By submitting a review, you grant Yelpersia a perpetual, royalty-free, non-exclusive license to reproduce, modify, distribute, and display the content

You must not collect or store other users' personal data or restrict any other user from using our platforms. If you believe a review infringes on your rights, please contact us with full details.

©️ Intellectual Property

All content on our website, SmartSign platform, Customer Portal, and related services — including text, graphics, logos, images, videos, software, and the SmartSign brand — is owned by or licensed to Yelpersia, LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

Content you upload to the SmartSign platform (menus, promotions, videos) remains your property. By uploading content, you grant us a license to display and distribute it through the kiosk platform and related services as necessary to deliver the service.

💻 IT & Digital Services

IT services — including website design, SEO, managed IT support, cloud services, backup and recovery, and promotional video production — are provided under separate service agreements or statements of work. General terms:

• All custom websites, logos, and creative deliverables become your property upon full payment unless otherwise stated
• Ongoing services (website maintenance, managed IT) are billed monthly and may be cancelled with 30 days' notice
• Yelpersia is not responsible for third-party service disruptions (hosting providers, domain registrars, cloud platforms)
• Service timelines and deliverables will be communicated in writing at the start of each engagement

💳 Cancellation & Refund Policy

SmartSign Kiosk Plans

• Purchase: Kiosk sales are final. The Digital Software License may be cancelled at any time, but the kiosk will not function without it
• Flex (Lease-to-Own): The Flex plan is a 12-month commitment. Early cancellation terms apply — contact us for details. The setup fee is non-refundable
• Event Rental: Cancellations made before the rental start date may be eligible for a full refund. The refundable deposit is returned upon satisfactory return of the kiosk

SmartCare & Subscriptions

Monthly subscriptions (SmartCare, Digital Software License, add-on services) may be cancelled at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

IT & Digital Services

You may cancel before work begins for a full refund. Once work has started, refunds are not available for completed portions of the service unless otherwise stated in your service agreement.

⚠️ Limitation of Liability

To the maximum extent permitted by applicable law, Yelpersia, LLC shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or related to your use of our website, SmartSign kiosks, Customer Portal, AI Business Finder, or any other service — even if we have been advised of the possibility of such damages.

We do not guarantee that our services will be uninterrupted, error-free, or free from security vulnerabilities. SmartSign kiosk uptime depends on factors including internet connectivity, power availability, and third-party infrastructure at the deployment location.

🛡️ Indemnification

You agree to indemnify, defend, and hold Yelpersia, LLC harmless from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or in connection with your use of our services, your violation of these Terms, or any content you display through a SmartSign kiosk or upload to our platforms.

Our website, kiosk platform, and AI Business Finder may contain links to third-party websites. These websites have their own terms and privacy policies, and we do not accept responsibility or liability for their content or practices.

📝 Modifications to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a revised "Last updated" date. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

🏛️ Governing Law & Jurisdiction

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Washington, United States. Any legal actions or proceedings relating to these Terms shall be brought exclusively in the courts located in Snohomish County, Washington.

📎 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

📑 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Yelpersia, LLC and supersede any prior agreements or understandings regarding the subject matter herein.
